3. Acceptance of Terms
By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our Services.
4. Services Provided
4.1 Training Services
We offer a range of training formats:

Formats: Webinars, online courses, in-person sessions, and 1-2-1 coaching.

Access: Includes entry to our online communities and access to AI prompts and automation templates.

Support: Customer support during office hours via email and phone.
4.2 Bespoke AI Projects
Our bespoke services include:

Free Scoping Session: For serious enquiries, we offer a one-hour session to understand your requirements.

Project Agreement: Detailed costs, milestones, and invoice triggers will be agreed upon in writing.

Ownership: Ownership of the final solution will be agreed upon prior to project commencement.

Additional Work: Any extra requests outside the original scope will be quoted separately.
4.3 SaaS Offerings
Our SaaS solutions include:

Services: AI-powered automations e.g. marketing automation, process automation, chatbots, data scraping software, and more.

Subscription: Offered on a month-to-month basis unless explicitly stated otherwise.

Updates and Maintenance: Regular updates with a 99.9% uptime guarantee.

Downtime: Scheduled maintenance will occur during times convenient for Clients with at least one week's notice.
5. Payment Terms
5.1 Pricing

Fixed Pricing: For training solutions and project quotes. Sometimes we offer fixed pricing tat is spread across multiple payments, to cater for our clients’ payment preferences.

Hourly Rates: For developer time and certain services.

Subscriptions: Monthly fees with no long-term contracts unless explicitly stated.
5.2 Payment Methods

Online Payments: For services with clearly marked pricing.

Invoices: For custom projects, invoiced at agreed intervals and milestones.
5.3 Refunds and Cancellations

Training Services: For our publicly available, in-person training products, we offer a 100% money-back satisfaction guarantee if requested before the final training session of the day. This does not extend to privately booked or ‘in-house’ training. Privately booked and/or in-house training sessions are cancellable with 2 weeks’ notice, and will be fully refunded.

SaaS Solutions: Free trial periods are often, but not always offered or available. Setup fees may apply where significant time and expertise are required, but we try to keep our SaaS offering free of set up fees where possible.

Cancellations: No cancellation fees. Monthly subscriptions can be cancelled with no further notice required. Longer-term contracts require one month's notice before the end of the term of the contract.
6. Intellectual Property
6.1 Ownership

Training Materials: We retain ownership. Clients are granted full use but may not share or redistribute.

Bespoke Projects: IP rights are transferred to the Client when using their systems and logins; otherwise, solutions are licensed.

SaaS Solutions: Licensed to Clients; ownership remains with Tech Bake Ltd.
6.2 Restrictions
Clients must not:

Share login details with third parties.

Resell or redistribute our Services.

Share our prompts, automation templates, or content externally.
7. Confidentiality

Client Data: We will only use Client data as authorised by the Client.

Data Protection: We will not resell or misuse Client data.

Confidentiality Agreements: While not required, we are willing to sign upon request.
8. Client Responsibilities

Accurate Information: Clients must provide accurate and up-to-date information.

Access and Permissions: Grant necessary access to systems or data for service delivery.

Compliance: Use Services in accordance with these Terms and applicable laws.

Security: Protect login credentials and notify us immediately of unauthorized use.
9. Data Protection and Privacy

Personal Data: Collected during sign-up and service delivery.

Third-Party Data: May hold personal information relating to Clients' customers on their behalf.

Use of Data: Personal information may be used to train AI models; Clients will be notified by email.

10. Service Limitations

Uptime: 99.9% uptime guarantee for SaaS solutions.

Maintenance: Scheduled maintenance with at least one week's notice.

Limitations: We do not guarantee uninterrupted Services due to factors beyond our control.
11. Liability Limitations

Limitation of Liability: Our total liability is limited to the amount paid by the Client.

Exclusions: We are not liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.

Non-Excludable Rights: These Terms do not exclude any rights that cannot be excluded under applicable law.
12. Warranties and Disclaimers

"As Is" Basis: Services are provided without warranties of any kind.

No Guarantees: We do not guarantee that Services will meet all Client requirements or be error-free.
13. Termination
13.1 By the Client

Monthly Subscriptions: Can be cancelled at any time with no further notice.

Longer-Term Contracts: Require one month's notice before the end of the term.
13.2 By Tech Bake Ltd

Breach of Terms: We may terminate Services if the Client breaches these Terms.

Misuse: Termination may occur in cases of misuse as defined in Section 6.2.
13.3 Effects of Termination

Access: Client access to Services will cease.

Fees: Outstanding fees become immediately due.
14. Governing Law
These Terms are governed by the laws of the United Kingdom. Any disputes will be subject to the exclusive jurisdiction of the courts of the United Kingdom.
15. Amendments
We reserve the right to modify these Terms at any time. Clients will be notified of changes via email. Continued use of our Services constitutes acceptance of the updated Terms.
16. Dispute Resolution

Mediation: Parties agree to attempt resolution through mediation before pursuing legal action.

Arbitration: If mediation fails, disputes may be resolved through arbitration in accordance with UK laws.

18. Entire Agreement
These Terms constitute the entire agreement between the Client and Tech Bake Ltd regarding the use of our Services and supersede any prior agreements.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
20. No Waiver
Failure to enforce any right or provision in these Terms does not constitute a waiver of such rights.
